CMS Editor Agreement

1. About this agreement

By accepting access to the OptiTech Automation CMS, you agree to these terms. These terms are separate from and in addition to any employment contract or services agreement you may have with Cristian Moise-Putanu / OptiTech Automation.

OptiTech Automation is operated by Cristian Moise-Putanu, sole trader, Torquay, Devon, England ("OptiTech Automation", "we", "us"). We provide software-as-a-service tools for trade business management, and the CMS you are accessing is part of that platform. These terms govern your use of the CMS regardless of the capacity in which you have been engaged.

2. Your access and role

Access to the CMS is granted personally to you in one of three roles. Each role carries different permissions:

Contributor

You may create and save draft content only. You cannot edit published content and you cannot publish or submit content for publication without an Editor or Manager reviewing it first.

Editor

You may create and edit content, including existing drafts. You cannot publish content directly — all publication requires review and approval by a Manager Editor.

Manager Editor

You may review, approve, and publish content. You may also manage the drafts of Contributors and Editors, including editing, rejecting, or publishing their submissions.

CMS access is granted personally to you. You must not share your login credentials with any other person, and you must not permit any other person to use your account. If you change roles or your engagement with OptiTech Automation ends, your access will be revoked.

You must enable two-factor authentication on your CMS account where it is available. Failure to enable available two-factor authentication is a breach of this agreement.

3. Intellectual property

All content you create, draft, or publish using the CMS — including text, images, metadata, and data — is created on behalf of OptiTech Automation and is the exclusive intellectual property of Cristian Moise-Putanu t/a OptiTech Automation from the moment of creation. You assign all rights (including moral rights under the Copyright, Designs and Patents Act 1988, to the fullest extent permitted by law) to OptiTech Automation. This assignment survives termination of your access.

You warrant that any content you contribute to the CMS is either original work created by you, or content for which OptiTech Automation holds or you have confirmed that OptiTech Automation has the right to use. You must not upload or incorporate any content that infringes a third party's intellectual property rights.

4. Content standards

All content you create or publish through the CMS must meet the following standards:

Accuracy

All factual claims must be verifiable. You must not make claims about the OptiTech Automation platform that are not supported by its actual capabilities. If you are uncertain whether a claim is accurate, seek approval from a Manager Editor before publishing.

Defamation

You are personally liable under the Defamation Act 2013 for any defamatory content you publish through the CMS. OptiTech Automation will seek to recover from you any losses, costs, and damages caused by your defamatory publication, including legal costs incurred in defending any claim.

Copyright

Do not republish or incorporate third-party text, images, or other content without a valid licence. Use only images from the CMS image library or images for which OptiTech Automation holds a confirmed licence. When in doubt, do not use the image.

UK GDPR

Where content mentions real named individuals, you must have a lawful basis for that processing under UK GDPR. Where you are uncertain, seek approval from a Manager Editor before publishing. Do not publish personal data — including email addresses, phone numbers, or precise locations — of private individuals without a confirmed lawful basis.

Advertising Standards

All platform marketing copy must comply with the ASA/CAP Code. You must not make false, misleading, or unsubstantiated claims. Price claims must be accurate and inclusive of VAT where applicable. Comparative claims must be factual and verifiable.

5. Confidentiality

In your CMS role you will have access to business performance data, customer counts, and internal platform information. This information is confidential. You must not disclose it to any third party or use it for any purpose outside your CMS role. This obligation survives termination of your access.

Confidential information includes (without limitation): subscriber and customer counts; revenue data or estimates; internal roadmap documents visible through the CMS; unpublished draft content; and any information marked as confidential or which a reasonable person would recognise as confidential given the context in which it was shared.

These confidentiality obligations do not apply to information that: (a) is or becomes publicly available other than through your breach of this agreement; (b) you are required to disclose by law, regulation, or court order — in which case you must notify OptiTech Automation as soon as reasonably possible before disclosure.

6. Data protection

In performing your CMS role you will process personal data (e.g., names in blog posts, email addresses in subscriber lists visible from the CMS). You act as a data processor under UK GDPR. You must: handle personal data only for the purposes authorised by OptiTech Automation; not export, copy, or retain personal data beyond what is necessary; report any actual or suspected data breach to privacy@optitechautomation.co.uk immediately.

You must comply with any data protection instructions issued by OptiTech Automation from time to time. If you are uncertain whether a planned CMS action involves personal data processing, seek guidance from a Manager Editor or contact privacy@optitechautomation.co.uk before proceeding.

On termination of your CMS access, you must not retain any personal data that you accessed through the CMS. Any copies — including cached, downloaded, or printed copies — must be returned to OptiTech Automation or securely destroyed within 24 hours of your access being revoked.

7. Security

You are responsible for the security of your CMS account. Do not share your credentials. Enable two-factor authentication if available. Report any suspicious activity immediately.

You must:

  • Use a strong, unique password for your CMS account and not reuse it for any other service.
  • Enable two-factor authentication on your CMS account where it is available.
  • Log out of the CMS when you have finished your session, particularly on shared or public devices.
  • Report any actual or suspected unauthorised access to your CMS account to hello@optitechautomation.co.uk immediately.
  • Notify OptiTech Automation immediately if a device you use to access the CMS is lost, stolen, or compromised.

You must not:

  • Share your CMS login credentials with any other person for any reason.
  • Attempt to access areas of the CMS or the OptiTech Automation platform beyond your authorised role. Unauthorised access may be a criminal offence under the Computer Misuse Act 1990.
  • Circumvent or attempt to disable any access control or two-factor authentication mechanism.

8. Termination

OptiTech Automation may withdraw your CMS access at any time, with or without notice. On withdrawal of access: all confidential information in your possession must be returned or destroyed within 24 hours; your obligations under clauses 3 (intellectual property), 5 (confidentiality), and 6 (data protection) survive termination.

Grounds for immediate withdrawal of access include (without limitation): a breach of any obligation in this agreement; a security incident involving your account; termination of your engagement or employment with OptiTech Automation; or a request from OptiTech Automation for any reason.

The withdrawal of CMS access does not constitute: dismissal or termination of any employment relationship; or a breach of any separate services agreement you hold with OptiTech Automation. Those matters are governed by the relevant employment contract or services agreement.

9. Governing law

This agreement is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with this agreement.

If any clause of this agreement is found to be unenforceable, the remainder continues in full force.
